ABOUT THE SERVICE
What is integrity due diligence?
Beyond the financial review
01
Traditional due diligence (DD) examines a company's financial and legal history. That is necessary, but not sufficient. What traditional DD does not capture is the people behind the company: their background, judgement and integrity.
The individual at the centre
02
Integrity due diligence closes that gap. We review the individuals who control the business and are ultimately accountable for it. That gives a more complete picture of the aggregated risk in a transaction.
Depth, not volume
03
Unlike automated background checks, every review is designed individually. We combine open sources with discreet enquiries, go far back in time and work in more than 80 countries.
Human capital is a company's most important asset, and its greatest risk factor.

WHEN IT APPLIES
When do you need us?
1
Key people continue in their roles after the acquisition
A CEO, CFO or other senior executives who will remain operationally responsible after the transaction.
2
An unknown or international counterparty
The seller is a previously unknown party or operates in another jurisdiction, which calls for checks on ownership structure, beneficial ownership and sanctions/AML exposure.
3
Strategic partnerships and joint ventures
Long-term collaborations where the counterparty's integrity has a direct bearing on your operations and your brand.
4
Meeting high expectations from owners and the board
Increased risk management requirements from LPs, board members or compliance functions that require third-party verification.
5
Potential risk factors have been identified
Rumours, media reports or internal concerns that need to be verified or dismissed in a structured way.
“...during a longer company review it can be difficult to really get to know a counterparty. This is where the integrity due diligence report can provide new insights that the other workstreams do not capture, not least if discreet enquiries are added as well.”
Kaspar Kirchmann, GVP Legal and Group Counsel at Munters
OUR APPROACH
How we work
Every assignment begins with a clearly defined scope. From there we work methodically and discreetly.
01
Defining the scope
We agree scope, timetable and format. Which individuals? Which jurisdictions? What depth?
02
Collection from open sources
Searches of registers, court records, physical archives and international databases, with local specialists in each country.
03
Discreet enquiries
Conversations with people who know the individual's background. Always discreet, and without revealing the client.
04
Analysis and assessment
Facts are interpreted and put into context. We provide a nuanced assessment, not simply a list of events.
05
Report and debrief
A written report with clear conclusions, followed by a verbal debrief and follow-up.
DELIVERABLES
What you receive
REPORT
Written report
An individual assessment of each person reviewed, with a risk assessment by area.
DEBRIEF
Verbal debrief
A debrief with the partner responsible. You can ask questions and discuss the assessments directly.
FOLLOW-UP
Availability
The option of follow-up questions during and after the transaction process.
DOCUMENTATION
Verification for investors
The report can be used internally and as documentation that integrity due diligence (IDD) has been carried out.
FLEXIBILITY
Tailored scope
Depth and geographical scope are adapted to each assignment and timetable.
DISCRETION
Complete discretion
The client's identity is never revealed during the review process, and confidentiality always applies.
Why LOOK CLOSER
Specialists, not generalists
Look Closer is the leading independent adviser in integrity due diligence in the Nordics. Research and analysis is all we do. We are not part of a wider security or audit offering. That specialisation allows us to go deeper in every assignment, without having to compromise with other business interests.
Independence
We have no external shareholders and we are not part of an audit network or a security group. No other business interests influence our assessment.
Depth, not checklists
Every review is designed individually. We are not satisfied with superficial searches of digital databases, since this risks creating false reassurance.
Partner-led delivery
Every assignment is led by an experienced partner. You always know who is responsible for the assignment throughout the process.
Contact
